Terms of Service

These Terms of Service explain how LIUHAO GLOBAL works with business buyers: what we commit to at each stage of a sourcing project, what we need from you, and how the rare disagreements get resolved. The page is written for practical reading, section by section, and takes effect for projects started after the effective date shown at the bottom.

Acceptance of These Terms

Welcome to LIUHAO GLOBAL. These Terms of Service govern your use of our website and the sourcing, manufacturing coordination, quality control, and logistics services we provide to business buyers. By browsing this site, requesting a quotation, placing an order through us, or exchanging emails with our coordinators about a project, you agree that these Terms of Service form part of our working relationship. We know most buyers do not read legal pages line by line, so we have written these Terms of Service in plain business English and organized them by the stage of a project they affect.

If any part of these Terms of Service conflicts with a signed project agreement, a proforma invoice, or a written amendment between you and us, that signed document prevails for that project. These Terms of Service apply to everything else. If you do not accept any part of them, please stop using the site and contact us to discuss your concerns before starting a project.

Terms of Service agreement signing - LIUHAO GLOBAL China sourcing company

Who We Are and Who These Terms Cover

LIUHAO GLOBAL is a China-based sourcing and supply chain service company. We connect overseas business buyers with vetted Chinese manufacturers, coordinate product development and sampling, arrange production oversight and inspection, and organize export shipping. We are a service company and a trading partner: depending on the project structure, we act as your buying agent, as the exporter of record for goods we consolidate, or as a coordination desk that connects you directly with factories.

These Terms of Service cover buyers who use this website and our services: retailers, brand owners, wholesalers, e-commerce sellers, and purchasing teams. They do not create a franchise, partnership, or joint venture. Nothing on this site is directed at consumers buying for personal use; our services are strictly business to business. Every order placed through us is a business transaction between commercial parties.

Our company details, including registered name, business address, and contact channels, are listed on the Contact Us page. When we say “we”, “us”, or “our” in these Terms of Service, we mean LIUHAO GLOBAL and its staff. When we say “you” or “buyer”, we mean the company or person that engages our services.

What These Terms of Service Cover

These Terms of Service cover the full arc of a sourcing project: inquiry, quotation, sampling, production, payment, inspection, export, delivery, after-sales claims, and dispute handling. Each stage is described in its own section below, together with what we commit to, what we need from you, and what happens when something goes wrong.

They also cover website use: product photos, specifications, and prices shown on this site are for reference and project discussion. Website content does not constitute a binding offer. A binding commitment only exists once both sides confirm a written quotation or a proforma invoice, as described in the next section. We may update product pages, categories, and guide articles at any time without notice.

How Quotations Become Orders

Every project starts with an inquiry and a written quotation. Our quotations describe the product, specifications, packaging, order quantity, unit price, currency, payment schedule, lead time, delivery terms, and validity period. Quotation prices are typically valid for the period stated on them, usually short, because material costs and exchange rates move. After a quotation expires, we re-confirm the price before accepting payment.

An order is formed when you accept a quotation in writing, usually by email reply or signed proforma invoice, and pay the agreed deposit. Once we receive the deposit, we lock the specification sheet with you and place the order with the factory. Changes after this point, such as different materials, new packaging, or revised artwork, are possible but may change price and lead time; we always confirm changes in writing before acting on them.

We may decline or cancel an inquiry or quotation for any reason before an order is formed, including capacity limits, compliance concerns, or products outside our working scope. These Terms of Service do not obligate us to accept every project.

Payment Terms and Currency

Standard payment terms for new projects are a deposit with the balance before shipment. For buyers with an established order history, we can discuss milestone payments tied to inspection results or a short credit line. Payment methods and account details are confirmed per project in the proforma invoice; if you ever receive payment instructions that differ from the written proforma, stop and verify with your coordinator before transferring money.

Prices are quoted in the currency stated on the quotation, most often US dollars. Bank charges on your side are yours; charges on ours are ours. If a transfer arrives short because of intermediary bank fees, the difference is deducted from the project balance. Exchange rate movements between quotation and payment do not change a confirmed order price, which is why quotation validity matters.

Late payment on a confirmed order pauses the affected project: production, booking, and shipment stop until the account is current. We will tell you before any pause takes effect and work with you on a schedule if a payment is delayed for reasons outside your control.

Quality inspection checkpoint under our Terms of Service for China sourcing

Product Quality, Inspection, and Acceptance

Quality expectations are defined by the confirmed specification sheet and the approved golden sample, not by verbal descriptions. Before mass production, we finalize a written specification covering materials, dimensions, colors, tolerances, packaging, and labeling. Where a golden sample exists, it is the reference standard. Anything not written into the specification or sample is not a defect ground for later claims.

Our standard service includes during-production checks and a final random inspection before shipment, using an agreed sampling plan. Inspection reports with photographs document what was checked and what was found. You are welcome to appoint your own third-party inspector; we coordinate factory access for any inspector you designate.

Claims for quality issues must reach us in writing within the claim window stated in your quotation or proforma invoice, normally within fifteen days of goods arriving at the destination, with photos and a description of the affected quantity. Valid claims are remedied by rework, replacement, credit on the next order, or refund, chosen by mutual agreement based on the nature of the defect. Quality commitments under these Terms of Service apply only to goods produced or consolidated under projects we managed.

Shipping, Delivery, and Transfer of Title

Unless a quotation states otherwise, delivery terms follow the Incoterms rules agreed for that project, such as FOB, CIF, or DDP, and the version of Incoterms stated in the quotation governs. Lead times run from the date the deposit clears and the specification sheet and artwork are final, not from the date of quotation acceptance. Lead time is a good-faith manufacturing estimate, and we will warn you as early as possible when a factory reports a delay.

Title and risk pass according to the agreed Incoterm. For FOB shipments, risk passes to you once goods are loaded on board the vessel; for CIF, on loading as well, with insurance arranged per the quotation; for DDP, risk passes at the agreed destination point. We handle export declaration, booking, and documentation on our side of the chain and share tracking information for every shipment.

We are not the carrier. Once goods are handed to the shipping line, airline, or courier, transit schedules are beyond our control. We will chase, escalate, and coordinate on your behalf, but carrier delays, port congestion, customs examinations in the destination country, and force majeure events are not our breach of these Terms of Service.

Intellectual Property, Tooling, and Brand Assets

Respect for intellectual property is a condition of working with us. You must own or be licensed to use every trademark, logo, artwork, patent, and design you ask us to apply to products or packaging. We may ask for proof of brand ownership or authorization before producing branded goods. We refuse projects that infringe third-party rights, and these Terms of Service do not shield any buyer who provides assets they have no right to use.

Tooling paid for by you, such as injection molds, dies, printing plates, and exclusive packaging inserts, remains your property. We document tooling ownership in the quotation and can transfer tooling to you or a factory you nominate at the end of a project, subject to any unpaid balance being settled. Tooling we develop in-house for our own product catalog remains ours.

All content on this website, including photographs, product descriptions, guide articles, and page layouts, belongs to us or our licensors. You may reference our public pages in normal business communication, but you may not republish our catalog content as your own or scrape the site for commercial reuse. Nothing in these Terms of Service transfers any website content rights to you.

Document protection and confidentiality under our Terms of Service

Confidentiality Between Buyer and Sourcing Partner

We treat your product plans, pricing, supplier information, and business correspondence as confidential, and we expect the same from you. Our factory-facing communications disclose only what the project requires: your specifications, your approved artwork, and the inspection standards. Your identity, your target prices, and your market plans are not shared with factories beyond what is needed to place and manage your order.

Confidentiality obligations survive the end of a project and the end of these Terms of Service. They do not apply to information that is already public, that you gave us permission to share, or that we are required to disclose by law, a court, or a customs authority. If you need a signed mutual non-disclosure agreement before sharing sensitive drawings, our coordinators will arrange one.

Warranties and Limitation of Liability

We warrant that services described in these Terms of Service will be performed with reasonable care, skill, and professional diligence consistent with normal industry practice. We warrant that goods shipped under our managed projects match the confirmed specification sheet and approved sample, subject to normal manufacturing tolerances stated in the quotation.

Except for the warranties above, services and goods are provided without further warranty of merchantability, fitness for a particular purpose, or profits. To the maximum extent permitted by law, our total liability under or related to any single project is limited to the service fees and the value of the affected goods in that project, and we are not liable for indirect losses, lost profits, missed retail seasons, or reputational harm, even if we were advised of their possibility.

Some jurisdictions do not allow certain limitation clauses, so these limits apply only where lawful. Nothing in these Terms of Service limits liability that cannot be limited by law, including liability for willful misconduct or fraud.

Force Majeure

Neither side is responsible for failure to perform caused by events beyond reasonable control: natural disasters, epidemics, port closures, war, civil disorder, government actions, export or import bans, raw material allocations, or large-scale utility failures at manufacturing clusters. When such an event hits, the affected obligations are suspended, not terminated.

The side affected by the event must notify the other promptly with a realistic view of the expected impact, and both sides work in good faith on mitigation: partial shipments, alternative factories, revised schedules, or order cancellations without penalty where performance has become commercially impractical. If a force majeure event lasts beyond a period stated in the project quotation, either side may cancel the affected order in writing, with settled accounts covering only work actually completed.

Returns, Claims, and Dispute Resolution

Custom-manufactured goods are not returnable for reasons of preference, because they are produced to your specification. Remedy for genuine defects follows the quality claim process described earlier in these Terms of Service. Stock catalog items may have their own return terms stated on the quotation, which override this section for that project.

We want problems solved at the working level first. Raise the issue with your coordinator, share photos and details, and give us the chance to propose a remedy. If a dispute cannot be resolved through discussion within thirty days, the dispute is referred to arbitration or litigation under the governing law described in the next section, unless both sides agree in writing to another forum. Claims and disputes do not suspend payment obligations for goods already delivered and accepted.

Project documentation and working records under our Terms of Service

Changes to These Terms of Service

We may update these Terms of Service from time to time to reflect changes in our services, payment structures, or logistics arrangements. The version published on this page applies to projects started after its effective date; projects already covered by a confirmed quotation keep the terms in force when the order was formed. Material changes that affect existing active projects are communicated by email before they take effect.

The effective date and version of these Terms of Service are shown at the bottom of this page. You are welcome to keep a copy of the version that governs your order for your records. Continued use of the site and our services after an update constitutes acceptance of the updated Terms of Service.

Termination of Service

Either side may end the working relationship for future projects at any time by written notice. Termination does not cancel orders already in production; those orders run to completion under the terms in force, unless both sides agree otherwise. Obligations that naturally survive, such as confidentiality, tooling ownership, claim windows for delivered goods, and payment of amounts due, survive termination of these Terms of Service.

We may suspend or end services immediately where a buyer breaches these Terms of Service in a material way, fails to pay confirmed balances, uses our services to infringe third-party rights, or engages in conduct that endangers our staff, factories, or reputation. Where practical, we notify the buyer first and explain what would restore the relationship.

Governing Law, Language, and Contact

These Terms of Service and any dispute arising from them are governed by the laws of the People’s Republic of China, excluding its conflict-of-law rules, unless a signed project agreement states a different governing law. Where disputes are not resolved through discussion, they are referred to the China International Economic and Trade Arbitration Commission or another forum both sides accept in writing.

The authoritative language of these Terms of Service is English. If a translation exists for convenience, the English text prevails. Headings are for navigation and do not affect interpretation. If any clause is held unenforceable, the remaining clauses continue in full force.

Questions about these Terms of Service can go to your project coordinator or to sales@liuhaoglobal.com. We answer legal and commercial questions in plain language, and we would rather clarify a clause before a project starts than argue about it after delivery. Thank you for reading this page; working with clear terms makes sourcing safer for both sides. For how we handle your information, see our Privacy Policy.
